General Terms and Conditions
Scope
These terms apply to all offers, contracts and services of BinNumbers GmbH, Schweidlgasse 34/3/19, 1020 Vienna (“we”), towards our clients (“you”): the setup of ready-made assistants, custom automation projects and the monthly operation and support that goes with them. Deviating terms of the client apply only if we confirm them in writing. For consumers, the mandatory provisions of consumer protection law take precedence over these terms.
Free call and quote
The call is free of charge and non-binding. After it you receive a written quote. A contract is concluded only when you accept the quote in writing (an email is enough). Quotes are valid for 30 days unless they state otherwise.
Scope of services
The services are described in the quote: for a ready-made assistant the channels, options and texts agreed with you, for a custom project the agreed goal and systems. Changes or additions are agreed in writing and may change price and timeline.
Prices and payment
All prices are net, plus 20 % Austrian VAT. The setup fee is invoiced when the contract is concluded or as stated in the quote; the monthly fee is invoiced monthly in advance. Invoices are payable within 14 days without deduction. In case of default, statutory default interest applies. We may adjust the monthly fee with 30 days’ notice; if you do not agree, you may terminate to the date the new price would apply.
Timelines and your cooperation
Timelines named in the quote are targets unless expressly agreed as binding. You provide the access, information and content we need in good time. Delays caused by missing cooperation move the timeline accordingly.
Monthly operation and support
The monthly fee covers operation, maintenance and support of your assistant or automation as described in the quote. The monthly service runs for an indefinite period; either party may terminate it with one month’s notice to the end of a calendar month. The right to terminate for good cause remains unaffected.
Rights of use
For the duration of the contract you receive a non-exclusive, non-transferable right to use the delivered assistant or automation in your business. Our software, tools and know-how remain ours. Your texts, data and content remain yours.
AI assistants
Our assistants use AI and may occasionally give incomplete or wrong answers. We configure them with the rules and texts you approve; you remain responsible for your business decisions and for checking content that matters legally or financially.
Data protection and confidentiality
Where we process personal data on your behalf, we conclude a data processing agreement under Art. 28 GDPR. Each party keeps the other’s confidential information secret, during the contract and afterwards.
Liability
We are liable without limit for intent and gross negligence, for injury to life, body or health, and where the law does not allow an exclusion. For slight negligence we are liable only for breach of essential contractual obligations and limited to the typical foreseeable damage, at most the fees you paid in the twelve months before the damage occurred. We are not liable for lost profit, indirect damage or loss of data; you are responsible for your own backups. Liability under the Product Liability Act is unaffected.
Applicable law and jurisdiction
Austrian law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. For disputes with businesses, the competent court in Vienna has jurisdiction. For consumers the statutory place of jurisdiction applies.
Final provisions
Changes and additions to a contract must be in writing; an email is enough. If a provision is invalid, the rest stays in force. Translations of these terms are for convenience; the German version is authoritative. Last updated: 26 October 2026.
